Additional Services/Products * Please check the boxes in each of the following sections (A-R) to indicate that you have read and understand the terms of the agreement. Package prices include all product/service costs and travel expenses (section E). Family members, if they wish, may purchase their own albums from the photographer at a pre-determined price that can be discussed with the photographer which is to be paid in full when order is placed. Clients will be invoiced for all services/products that are negotiated between the photographer and client. B.) Payment * Clients can pay by credit card (in person or invoice via email), by cash, by check sent to: Nathan Ballash, 159 Ice House Road. A deposit of half of the package price is due at the signing of the contract, or 6 months before the event, whichever comes first. Your wedding date is only secured once a contract and deposit are obtained. All payments are due in full at the time of the wedding unless other payment arrangements have been made. Images will not be processed until payment in full is received. C.) Content Covered * Prior to the event, the client may inform the photographer of subjects which they would like photographed (i.e. pinterest or other posing ideas), but the final content of the images is at the discretion of the photographer. The photographer reserves the right to use her time as she sees fit to render professional services and not necessarily “shoot off of a list.” D.) Portraits * Clients will guarantee a minimum of 1 hour for the photographer to take portraits of the bride and groom and bridal party ONLY. This does NOT include travel time or time needed (approx. 30-45 minutes) to take formal photographs of family. The client should provide a full list of formal family photographs to be taken including names and relationship to the client. The client is responsible for ensuring family members are present and understands its recommended to have a someone in charge of organizing/calling groups to be ready. The photographer is not responsible for “missed” photos due to absent family members. E.) Travel * The photographer will be responsible for his/her transportation from location to location. The CLIENT will be responsible for providing addresses and directions between locations. The photographer WILL NOT be responsible for “guiding” the bridal party vehicles from one location to another. The photographer will be responsible for her own travel expenses to and from the wedding venue within 50 miles of Latrobe, PA 15650. Any driving miles logged by the photographer in excess of 100 miles (to and from event) will be subject to a travel fee paid by the client of $0.54/mile. F.) Accommodations * The client must provide both a seat and a meal for the photographer and all assistants if a meal is being served at the event. The photographer and assistants also retain the right to take a 30 minute “break,” not including time spent eating a meal. G.) Guest Conduct * The Client will ensure that the guests at the event do not interfere with the photographer’s work (i.e. flash, stepping in front of photographer during ceremony, hindering availability of bridal party, or harassment of any kind). Failure to do so may result in immediate termination of photography services with no reimbursement to the client. H.) Post-Processing * Photos are digitally edited as the photographer sees fit and according to the photographer’s style (lighting, color correctness, face retouches, sharpness, and removal of distractions). I.) Copyright * Nathan Ballash retains all copyrights to all images created during client’s session. A print release is included with digital files to print portraits for personal use. The print release does not allow publication of your portraits (i.e. entering in contests), selling or altering of your images without the photographer’s written permission. It is illegal to copy, scan, download, print, share, alter, or otherwise steal any image created by Nathan Ballash during client’s photo session. This applies to "sneak peek" images, images posted in an online proofing gallery, blog, Facebook, or hard copy images. Digital images can only be used for personal use and not for commercial, political, or any for-profit uses. Sharing on personal social media pages, web pages, or blogs is allowable but credit and link back to www.nathanballashcreative.com is required. J.) Delivery * Edited, jpeg files will be uploaded to an online gallery shared with the client APPROXIMATELY 6 weeks after the event, up to but not to exceed 3 months. The photographer is not required to offer a “sneak peek”, blog post, or any other digital publication before the client receives the entirety of their photos. Please respect the workload of the photographer and inquire about your photos only after the 6 week period has elapsed. The images will be available to download from the gallery for 1 year after the delivery date. There will be no refunds, exchanges, or barters once the wedding is complete, unless in the circumstance that through equipment malfunction ALL images are lost/unrecoverable, in which 50% of the package price will be refunded. K.) Gallery Password I (the client) wish to password protect my online gallery of digital files. Please use the following password: L.) Model Release * I hereby give to Nathan Ballash the absolute and irrevocable right and permission with respect to the photographs that she has taken of myself and/or my minor child in which he/she may be included with others: a) To copyright the same in the photographer’s name or any other name that he/she may select; b) To use, re-use, publish and re-publish the same in whole or in part, separately or in conjunction with other photographs, in any medium now or hereafter known, and for any purpose whatsoever, including (but not by way of limitation) illustration, promotion, advertising and trade, and; c) I hereby release and discharge photographer from all and any claims and demands ensuing from or in connection with the use of the photographs, including any and all claims for libel and invasion of privacy. M.) Indemnification * The client shall defend, indemnify, release and hold harmless Nathan Ballash, Nathan Ballash Creative, employees, agents, or representatives from and against all loss, expenses, damage, injury, liability, demands and claims for injury to or death of any person or for loss of or damage to property whether directly or indirectly resulting from or arising out of Nathan Ballash & Nathan Ballash Creative's performance of this Agreement. Such indemnity shall not apply to the extent that it is void or otherwise unenforceable under applicable law in effect on or validly retroactive to the date of this Agreement and, shall not apply where such loss, damage, injury, liability, death or claim is the result of the sole negligence or willful misconduct of Nathan Ballash & Nathan Ballash Creative. N.) Damages * Client will take reasonable steps to protect Nathan Ballash's equipment and personnel during the contracted period. Any damages incurred due to a lack of reasonable protection on Client or Client's guest(s) part will be payable by Client to the extent of repair or replacement of damaged equipment and all costs of medical treatment within a reasonable time following the event. O.) Additional Provisions * Modification or Amendment: Any modification or amendment to this Agreement requires the agreement of the Parties, and must be made in writing and signed by all Parties or agreed upon via email or message. Governing Law; Jurisdiction: The validity, construction, and enforceability of this Agreement shall be governed in all respects by the laws of the State of Pennsylvania. If any dispute arises in connection with or relating to this Agreement, then the Parties agree that the proper jurisdiction shall be the courts located in Westmoreland County, Pennsylvania, and the Parties waive any defense of personal jurisdiction or lack of venue. Dispute Resolution: Any claims arising out of this Agreement shall be first submitted to a licensed neutral party in a mutually agreed upon location and on a mutually agreed upon date to make a good faith effort to resolve or settle the issue by mediation. If the Parties do not successfully reach an agreement, all claims or disputes more than the jurisdiction of small claims court shall be submitted to binding arbitration. The Parties shall select a single arbitrator, and the arbitration shall take place in Westmoreland County, Pennsylvania. The arbitrator’s decision shall be binding on the Parties and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction. The prevailing Party in any arbitration, trial or other proceedings shall be awarded all filing fees, related administrative costs, and reasonable attorneys’ fees, as well as administrative and other costs of enforcing an arbitration award or judgment. P.) Guarantee * I understand that due to the subjective nature of creative services, the photographer cannot guarantee the client’s satisfaction with the final images. It is recommended that client research and choose a photographer with a style that is aligned with their tastes to eliminate displeasure with final products. The client understands that due to the unpredictable nature of a live event, “getting every shot” also cannot be guaranteed. The client also understands that natural elements such as rain, wind, sun, and snow may have an effect on the final product and does not compromise professionalism of the photographer. Q.) Term Nathan Ballash & Nathan Ballash Creative and client agree that this Contract between the parties for Services that shall commence and complete on the above date . The Contract may be extended or renewed by agreement of all Parties in writing thereafter. P.) Cancellations All deposits are non-refundable. Cancellation of this contract by the client, which is received in writing 30 days prior to the event, will result in a refund of any monies paid, less the deposit. Photographer agrees not to initiate cancelation 30 days prior to the event, except for acts of God, verifiable sickness or transportation delays, accident, fire, explosion, unforeseeable equipment failure, vandalism, storm or other similar occurrence, order or acts of military or civil authority, or by national emergencies, insurrections, riots or wars. If the Photographer cancels on or before this date, all monies paid to Nathan Ballash by the client shall be fully refunded INCLUDING the deposit. Any refund shall be paid out at month’s end.
